Four data-center builders are simultaneously trying to sell majority

EdgeCore are all working with bankers to find buyers for majority stakes
this summer, with DataBank alone potentially fetching ~$25B. The WSJ frames

THESIS CONNECTION
Layer 4 (financing), secondary Layer 2 (physical buildout). Confirms the
financing-fragility read from the supply side rather than the price side.
Everything logged on Layer 4 so far has been price (ORCL, SpaceX) or
forward promises (neocloud ARR guidance); this is insider behavior — the
builders, who see the real economics (Huang's $100B/GW, 18-month GPU
obsolescence, permits dying to local opposition, a tenant base of
unprofitable AI companies leasing with investor money rather than earned
revenue) — collectively choosing to move forward risk onto someone else's
balance sheet at the top. That is the supply side of the exact capex/FCF
question the hyperscaler prints adjudicate, answering early. Note the
honest counter, which is the WSJ's own: majority-stake sales to PE are how
this asset class has traded for years, and a rich bid is a legitimate,
non-bearish reason to sell — the exit read and the cash-in read look
identical from outside. What tilts it bearish is the simultaneity, the sale
of control (not carved-out properties), and the timing into the prints. And
the precision: these are private colo/wholesale builders cashing out, i.e.
the landlords, not the hyperscaler anchor tenants — an adjacent tell, not
the same event.
WHAT TO WATCH
- Falsifier: deals clear at premium/rising multiples — that validates "hot
- asset class" over "exit," and contests the read.
- Catalyst: hyperscaler earnings Jul 22-31 (GOOG/TSLA Wed post-close, then
- the ~36% of SPX Jul 27-31) — the demand side of the same buildout.
- Monitor: closing multiples vs recent comps; whether any builder or
- banker names softening tenant demand; whether the anchor-tenant
- hyperscalers themselves signal capex restraint on the prints.
